This document serves as Terms and Conditions between SCANVENGER HUNT LLC and the CUSTOMER herby defined as users of any SCANVENGER HUNT LLC products or services.
Services Performed
SCANVENGER HUNT LLC agrees to provide one (1) license per event to access the SCANVENGER HUNT LLC portal upon the signing of the agreement and to be used during their event as agreed upon. CUSTOMER will receive login credentials within three (3) days of payment in order to begin adding questions and logos to the platform.
Deliverables
SCANVENGER HUNT LLC will deliver to CUSTOMER all the itemized services listed in the agreement. SCANVENGER HUNT LLC will deliver all products to the address listed in the agreement unless CUSTOMER requests otherwise. All sales are final upon delivery.
Terms
SCANVENGER HUNT LLC will allow CUSTOMER one (1) license for the event. SCANVENGER HUNT LLC shall not directly promote their products or services to CUSTOMER’S attendees without written consent. All communication, electronic and print, will be delivered to attendees by CUSTOMER unless requested otherwise.
Payment for Services
The license will cover one (1) event in the amount of one thousand five hundred dollars ($1,500.00). CUSTOMER will also pay fifty-five dollars ($55) per question/task and/or one hundred and five dollars ($105) for question or task with lead retrieval. All questions linked to Interactive Name Badge codes are four dollars and fifty cents ($4.50) per each question. Payment for products and services, other than “To Be Determined Locations” are due prior to the use of any of SCANVENGER HUNT LLC’s property. All sales are final and service for all questions are considered to be rendered once they have been placed in the SCANVENGER HUNT LLC platform.
Independent Contractor
It is intended that this agreement shall create an independent contractor relationship and nothing herein shall be construed as SCANVENGER HUNT LLC creating an employer/employee relationship, partnership, or joint venture.
Protection of Trade Secret Information
The SCANVENGER HUN LLC name and logo are protected under trademark laws and should not be used without SCANVENGER HUNT LLC’s consent. Individuals or entities using SCANVENGER HUNT LLC’s logo or name to resell or promote are expected to pay the licensing of one thousand and five hundred dollars ($1,500.00) or the amount indicated in the agreement prior to “To Be Determined Locations”.
In the course of performing services, CUSTOMER may receive information which is proprietary to SCANVENGER HUNT LLC, such as program software or methods, pricing, and other information, and which must be held on a confidential basis. It is also agreed that any technical information or methods provided to CUSTOMER during the course of this agreement is, and shall remain the exclusive property of SCANVENGER HUNT LLC.
Cancellation
If either party is unsatisfied with the product or business relationship they may terminate the agreement at any time by giving at least thirty (30) days’ notice in writing. If the written notice was not submitted by the CUSTOMER within thirty (30) days of the event, SCANVENGER HUNT LLC is not obligated to return any payment(s) made back to the CUSTOMER.
It is further agreed that neither party will at any time after termination of this agreement disclose or use, directly or indirectly, any confidential information of the other party.
